1. Services

1.1 Scope: WBE provides business advisory services to founders and owners of privately held firms. These include The Entrepreneur's Edge, a ninety-day program delivered self-paced, in a cohort, or inside a client company; longer-term advisory and execution engagements; free online business diagnostic tools; and keynote speaking and workshops.

1.2 Delivery Models:

(a) The Entrepreneur's Edge is a ninety-day program delivered through the Willard AI platform together with live sessions in the cohort and company formats. Pricing and the terms applicable to each tier are set out at the point of purchase.

(b) Advisory and execution engagements are scoped individually following a Discovery Day and governed by a separate written service agreement.

(c) Diagnostic tools are free automated assessments that analyze information you provide and generate a report.

(d) Speaking engagements are governed by a separate written contract for each event and are not covered by these Terms.

2. Client Responsibilities

Clients must:

• Provide timely access to required data, credentials, content, and personnel
• Review and approve assets or decisions within agreed timelines
• Maintain valid payment methods and meet billing timelines
• Abide by all applicable laws in their use of our services

3. Payment Terms

3.1 Pricing and Fees: Fees are outlined in your service agreement, proposal, or invoice. Some engagements require upfront deposits or milestone payments.

3.2 Auto-Billing: For recurring services, clients authorize automated billing unless otherwise stated in writing.

3.3 Late or Failed Payments: Late payments may result in service interruption, access suspension, or termination.

4. Refunds and Guarantees

4.1 No Guaranteed Results: Except as set out in 4.2, we make no promises regarding specific revenue outcomes or growth.

4.2 The Entrepreneur's Edge Guarantee: By the end of The Entrepreneur's Edge you will have a strategic plan setting out a path to increasing your new sales revenue by 100%. WBE will show you the formula and apply your own numbers to it.

If, on completing the program, you have not seen that applying what you have learned can lead to a 100% increase in new sales revenue, WBE will refund the fee you paid for the program.

The guarantee is conditional on completion. In all three formats you must complete the work required in every pillar and submit it for review. In the cohort and company-specific formats you must also attend every scheduled session. Where a session is missed, you must arrange with WBE to make it up and then complete that session. A participant who has not completed all pillars, or who has missed a session without making up that session, is not eligible.

To claim, contact WBE in writing at support@willardbarth.com within thirty days of completing the program, stating that the condition above has not been met. WBE will confirm your completion record and, where the claim is valid, refund the program fee to the original payment method.

This guarantee applies to The Entrepreneur's Edge only. It does not apply to advisory engagements, Discovery Days, speaking engagements, or any other service.

4.3 Non-Refundable Services: Custom work, setup fees, third-party licensing, and completed strategy sessions are non-refundable.

5. Diagnostic Tools

5.1 Purpose and Use: Our diagnostic tools provide automated insights based on information you provide. These assessments are intended for informational and educational purposes only.

5.2 Data Handling: By using a diagnostic tool, you grant WBE a limited license to process, analyze, and store your inputs for the purposes of generating assessments and enhancing advisory services.

5.3 No Professional Advice: The insights generated do not constitute professional, financial, or legal advice. Users should exercise their own judgment before making business decisions based on diagnostic results.

5.4 Accuracy Disclaimer: Diagnostic results are automatically generated and may not reflect complete or current business realities. WBE makes no warranty as to their accuracy or completeness.

5.5 Internal Use: Your diagnostic analysis may be reviewed internally by WBE to provide more personalized consulting or support.

5.6 Shared Operation with Data Pro Marketing: The diagnostic tools are jointly operated with Data Pro Marketing. Information you provide is shared securely with DPM for analysis and advisory review. WBE and DPM act as joint controllers for diagnostic data and adhere to their respective Terms of Service and Privacy Policies.

6. Intellectual Property

6.1 Company IP: All materials, templates, strategies, frameworks, and software created or provided by WBE remain the intellectual property of the Company unless otherwise agreed in writing.

6.2 Client Deliverables: Business-specific assets created for the client may be licensed or transferred per agreement.

6.3 Platform Access: Subscription use of WBE tools grants you a limited, non-exclusive, non-transferable license for the term of your contract.

7. Termination

7.1 Mutual Right to Terminate: Either party may terminate with written notice. For fixed-term contracts, early termination may affect refund eligibility.

7.2 Effects of Termination: Upon termination, client access to WBE platforms or custom assets may be revoked depending on service agreement terms.

8. Confidentiality

We agree to maintain the confidentiality of your business data and strategy. You agree not to disclose our proprietary tools, methods, or internal processes.

9. Data Privacy

Your use of WBE services, including diagnostic tools, is subject to our Privacy Policy. We may collect usage data and platform behavior for internal optimization.

10. Disclaimers

WBE is not liable for business losses or damages arising from misuse of our services, delayed deliverables due to client inaction, or third-party platform outages.

11. Governing Law

These Terms are governed by the laws of the State of Florida. Disputes will be resolved via mediation or binding arbitration in Florida, unless otherwise agreed.

12. Changes to Terms

We may modify these Terms at any time. Continued use of our services constitutes acceptance of updated Terms.
